1. Agreement to Terms

By accessing or using Shorts Factory ("Service"), operated by Shorts Factory ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Shorts Factory provides an autonomous YouTube video production service, including AI-powered content research, video creation, uploading, engagement management, and analytics. The Service is offered on a subscription basis.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement. By using the Service, you represent that you meet these requirements.

4. Account Registration

• You must provide accurate, complete, and current information during registration.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• Notify us immediately of any unauthorized use of your account.

5. Subscription and Payment

• The Service is offered through paid subscription plans as described on our pricing page.
• Payments are processed by Paddle.com Market Limited ("Paddle"), our Merchant of Record. Paddle handles all billing, tax collection, and payment processing.
• Subscription fees are billed monthly in advance.
• All fees are exclusive of applicable taxes, which Paddle will calculate and collect as required.
• You agree to Paddle's Terms of Service and Privacy Policy for payment processing.

6. AI-Generated Content

• Videos produced by the Service use AI-generated images, animations, voiceovers, and scripts.
• All AI-generated content is disclosed as synthetic media in YouTube uploads (containsSyntheticMedia: true).
• You retain ownership of content produced for your channel(s) through the Service.
• We retain the right to use anonymized performance data to improve the Service.

7. YouTube Compliance

• All content produced by the Service is reviewed for compliance with YouTube's Community Guidelines and Terms of Service.
• We do not guarantee that content will not be flagged, demonetized, or removed by YouTube.
• You are ultimately responsible for the content published on your YouTube channel(s).
• You grant us the necessary YouTube OAuth permissions to upload and manage content on your behalf.

8. Acceptable Use

You agree not to use the Service to:

• Produce content that violates any applicable laws or regulations.
• Create misleading, defamatory, or harmful content.
• Infringe on any third party's intellectual property rights.
• Distribute spam or engage in deceptive practices.
• Attempt to reverse-engineer, copy, or resell the Service.

9. Service Availability

We strive to maintain high uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or modifications that temporarily affect availability. We are not liable for any downtime or service interruptions.

10. Intellectual Property

• The Service, including its technology, agents, scripts, and pipeline architecture, is our proprietary intellectual property.
• Your subscription grants you a non-exclusive, non-transferable license to use the Service for its intended purpose.
• You may not copy, modify, distribute, or create derivative works based on our technology.

11. Limitation of Liability

To the maximum extent permitted by law, Shorts Factory shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 3 months preceding the claim.

12. Termination

• You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period.
• We may suspend or terminate your account if you violate these Terms.
• Upon termination, your access to the Service ceases. Content already published to your YouTube channel(s) remains yours.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Continued use of the Service after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Ontario, Canada.
